DOCUMENTS FOR COMPANY REGISTRATION
- Identity Proof Documents
- Permanent Account Number (PAN Card Copy)
- Passport / Driving License / Voter Identity Card (Anyone)
- Address Proof Documents
- Telephone Bill / Mobile Bill/Electricity Bill / Water Bill
- Copy of the Bank Passbook with latest transaction entry or Bank Statement (not more than 2 months old)
- Passport size Photographs
Note: All the documents mentioned must be Self-Attested by all the promoters (Directors and Shareholders). For company, latest utility bill such as telephone bill/ electricity bill/ mobile bill/ gas bill has to be submitted which should not be older than 2 months.
PROCESS OF COMPANY REGISTRATION ONLINE
- Apply Digital Signature Certificate (DSC)
As per the latest amendment by the Government, now Class III Digital Signature is required to incorporate a company in India. The same can be obtained easily from any Certifying Authority and it is normally valid for 2 years after which the same can be renewed. The Major service provides are Sify, Vsign, Emudhra etc. The soft copy of DSC is not supported in MCA and the same is required to be downloaded in the Token. Major token Players are ePass, MToken etc.
- Application for Company Name and its availability
MCA allows to file a maximum of two names at a time according to priorities in SPICE PART A and one resubmission is allowed where we can again submit two names. It is important to select the right NIC code to reflect the correct industry. We are also required to file the Objects of the proposed company.
- Filing of Incorporation documents with eMOA & eAOA
MOA provides details related to the objectives and powers of the company and the relationship between the outsider and the company. The MOA cannot be altered. It contains all the necessary details of the registering company which are required during the incorporation process. AOA specifies the rules and regulations of the company. It provides details about the management, conduct and byelaws governing the internal affairs of the company.
- ROC issues a Certificate of Incorporation having CIN
After verifying all the documents, Certificate of Incorporation shall be issued by the ROC. It also acts as a proof that the company is now registered with the registrar of companies. MCA also publishes the same in the Master Data. Now, COI also contains the PAN and TAN.
